SOFTWARE LICENSE AND SERVICES AGREEMENT
This Software License and Services Agreement (“Agreement”) is a legal contract between you, the end user (“Licensee”), and SBZ PC, the sole owner of all intellectual property rights to the software it develops and distributes, and the provider of related cloud-based services.
By installing, copying, accessing, or otherwise using any SBZ PC software, you unconditionally accept the terms of this license.
1. Grant of License
SBZ PC grants the Licensee a limited, non-exclusive, non-transferable license to install and use the software on one (1) computer per license, or to access cloud-based versions through valid subscription or contractual agreement.
This license does not transfer ownership or any intellectual property rights.
2. Permitted Use
The software may be distributed as a trial version (e.g. 30 days), provided it remains unaltered, complete, and free of charge.
Backup copies may be created exclusively for personal use.
3. Restrictions
You may not:
Modify, decompile, reverse engineer, disassemble, or otherwise attempt to access the source code.
Remove or alter copyright notices, logos, or proprietary markings.
Rent, sublicense, transfer, or resell the software.
Create derivative works or disclose license verification mechanisms or algorithms.
4. Termination
This license remains in force until terminated. It shall terminate automatically and without notice if any term is violated. Upon termination, you must delete the software from all devices and storage media.
5. Disclaimer of Warranties
The software is provided “as is”, without warranties of any kind, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.
The software is not fault-tolerant and is not designed for critical applications (e.g. aviation, medical devices).
6. Limitation of Liability
To the fullest extent permitted by applicable law:
SBZ PC’s total liability shall not exceed the amount paid for the license.
SBZ PC shall not be liable for any indirect, special, incidental, or consequential damages, including data loss, business loss, or loss of profits or goodwill, even if previously advised of the possibility of such damages.
For the avoidance of doubt, SBZ PC shall not be liable for any loss of profits, loss of revenue, loss of customers, business interruption, or any indirect or consequential damages, even if advised of the possibility of such damages.
7. Subscription & Backup Policy
Upon expiration of any subscription, SBZ PC is not obligated to provide access to previous versions or documentation.
SBZ PC does not provide backup services unless otherwise contractually agreed. The Licensee is solely responsible for data backups.
8. Cloud Infrastructure and Data Management
SBZ PC provides its cloud-based services exclusively through third-party infrastructure providers. SBZ PC does not own, operate, or maintain any hosting infrastructure.
User data may be stored or processed on third-party systems, located within or outside the European Union, in accordance with Articles 44–49 of the GDPR.
SBZ PC shall not be liable for the operation or availability of such infrastructure to the extent that it is under the control of third-party providers.
The Licensee is solely responsible for:
* the content of their data
* compliance with applicable laws and regulations
* maintaining backups, unless otherwise explicitly agreed
9. Service Availability and Software Errors
SBZ PC makes reasonable efforts to ensure the proper operation of its services. However, the services are provided “as is” and no guarantee is given for uninterrupted, timely, or error-free performance.
The Licensee acknowledges that the software may contain technical errors or imperfections and that SBZ PC does not guarantee their complete absence.
SBZ PC may, at its discretion, provide updates or corrections without any obligation to meet specific response or resolution times.
Service availability may be affected by:
* scheduled maintenance or updates
* technical issues or software errors
* force majeure events
The existence of software errors shall not constitute a breach of this Agreement unless gross negligence is proven.
SBZ PC shall not be liable for any damages arising from temporary or prolonged service unavailability or from technical operational errors of the software.
In all cases, the limitation of liability set forth in Section 6 shall apply.
10. Security, Cyber Incidents and User Responsibility
SBZ PC implements reasonable technical and organizational measures to ensure the security of its services in accordance with applicable standards. However, no guarantee is given that the services are completely free from cybersecurity risks.
The Licensee acknowledges that information security is a shared responsibility and agrees to:
* maintain the confidentiality and security of their access credentials
* implement basic security measures (including system updates, antivirus protection, and access controls)
* prevent unauthorized use of their accounts
SBZ PC shall not be liable for damages resulting from:
* unauthorized access due to improper credential management by the Licensee
* malicious acts of third parties, including cyberattacks, malware, or security breaches, unless caused by gross negligence of SBZ PC
* actions or omissions of the Licensee
The Licensee acknowledges that no information system can be considered completely secure.
In the event of a security incident, the limitation of liability set forth in Section 6 shall apply.
11. Data Protection and Allocation of Responsibilities
In the context of cloud services, the Licensee acts as the Data Controller and SBZ PC acts as the Data Processor, where applicable.
The Licensee is solely responsible for:
* the lawful collection and processing of personal data
* obtaining any required consents
* compliance with GDPR and applicable data protection laws
SBZ PC processes personal data only on behalf of and under the instructions of the Licensee and shall not be liable for violations resulting from:
* incorrect use of the software
* instructions or omissions of the Licensee
In all cases, the limitation of liability set forth in Section 6 shall apply.
PERSONAL DATA PROTECTION POLICY
1. Introduction
SBZ PC acts as Data Controller with respect to personal data necessary for its own business operations (such as account management, billing, and support), and as Data Processor with respect to personal data processed on behalf of its customers through the use of the software, in accordance with the General Data Protection Regulation (EU) 2016/679 (GDPR).
2. What Data We Collect
Depending on the installation or access type, the following may be collected:
IP address
Computer name (hostname)
Hard disk serial number
Technical license validation data
For cloud use: account, settings, and transaction data
3. Purpose of Processing
Personal data is used solely to:
Validate licensing and ensure legal software usage
Support software functionality and performance
Provide technical support if requested
4. Legal Basis
The processing is based on Article 6(1)(b) of the GDPR – processing necessary for the performance of a contract with the user.
5. Data Sharing and Transfers
Personal data is not shared with third parties, except:
When required by law or a court order
When securely processed by third-party technology providers under data protection agreements
6. Your Rights
As a data subject, you have the right to:
* Access your data (Art. 15)
* Rectify inaccuracies (Art. 16)
* Erase your data (“right to be forgotten” – Art. 17)
* Restrict processing (Art. 18)
* Data portability (Art. 20)
* Object to processing (Art. 21)

7. Data Security
SBZ PC implements technical and organizational security measures in accordance with Article 32 of GDPR, and is certified under ISO/IEC 27001:2013.
8. External Links
SBZ PC is not responsible for data protection practices on third-party websites that may be linked from within its software.
9. Acceptance of Terms
By using SBZ PC software, you fully and unconditionally accept the terms of this license and data protection policy.
